Effective terms and conditions governing services provided by dotIO Technologies Private Limited

Scope of Services

dotIO Technologies provides a range of software engineering, cloud platform, enterprise application, IoT solution, and digital transformation services. The specific scope of services for each engagement shall be clearly defined in the project quotation and work order. Our services are designed to address client requirements while maintaining industry best practices and quality standards.

Quotations & Work Orders

All work undertaken by dotIO Technologies shall be based on a formal quotation and agreed work order. The quotation outlines the scope, timeline, deliverables, and pricing for the engagement. Once approved by the client, the work order becomes a binding agreement between both parties. Any changes to the scope must be documented and agreed upon in writing.

Payment Terms

Invoices are issued as per the agreed payment schedule outlined in the work order. Payment terms are typically Net 30 unless otherwise specified. Payments must be made through secure online payment gateways, UPI, bank transfer, or other approved electronic payment methods. All payments are processed in Indian Rupees (INR) unless otherwise agreed. Late payments may result in project suspension.

Intellectual Property

Unless otherwise agreed in writing, all intellectual property, including but not limited to software code, designs, documentation, and methodologies developed by dotIO Technologies during the engagement remain the property of dotIO Technologies. Custom developments and deliverables as specified in the work order shall be transferred to the client upon full payment. Pre-existing intellectual property and third-party components remain subject to their respective licenses.

Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary information shared during the engagement. This includes business strategies, technical specifications, financial data, and other sensitive information. Confidentiality obligations remain in effect for a period of 2 years following the completion of services. Information that is publicly available or independently developed is exempt from these restrictions.

Service Delivery

Services shall be delivered according to agreed milestones and timelines as specified in the work order. dotIO Technologies commits to delivering high-quality solutions that meet the defined requirements. Any delays or issues shall be communicated promptly to the client. The client is expected to provide timely feedback and necessary information to facilitate smooth project execution.

Limitation of Liability

dotIO Technologies shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the services. Our liability is limited to the amount paid by the client for the services in question. This limitation applies unless otherwise mandated by applicable law. The client is responsible for implementing appropriate measures to protect their systems and data.

Governing Law

These terms and conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana. Both parties agree to attempt amicable resolution before pursuing legal remedies.
